1. Services

CBI Mathematics and Professional Learning International Limited may provide:

• professional learning workshops;

• educational resources;
• podcasts and publications;
• mathematics education support services;
• downloadable materials;
• educator learning portals; and
• related professional learning services.

Our services may change, be updated, suspended or discontinued from time to time without notice.

2. Eligibility and Acceptable Use

4. School and Organisation Licences

Where a subscription, licence or service is purchased by a school, organisation or institution, access is limited to authorised users covered by that subscription, licence or agreement.

Schools and organisations are responsible for ensuring their staff and authorised users comply with these Terms and Conditions and any applicable service terms.

5. Intellectual Property

Unless otherwise stated, all website content, portal content, resources and materials are owned by or licensed to Professional Learning International Limited.

This includes, but is not limited to:

• text;
• graphics;
• videos;
• downloadable resources;
• workshop materials;
• course content;
• branding;
• logos;
• design elements;
• teaching frameworks;
• training materials; and
• professional learning resources.

Content may not be copied, distributed, reproduced, modified, sold, shared, uploaded to public websites or commercially used without our prior written permission.

6. Licence to Use Materials

Subject to payment where applicable and compliance with these Terms and Conditions, CBI Mathematics grants authorised users a limited, non-exclusive, non-transferable and revocable licence to access and use the website, portal, courses and resources for their own professional learning and internal educational purposes.

Unless expressly permitted in writing, users must not:

• share login credentials;
• resell, sublicense or redistribute course materials;
• upload CBI Mathematics materials to public websites or shared repositories;
• use our materials to create competing commercial products or services;
• remove copyright notices, branding or ownership information;
• use our materials for commercial training outside the authorised subscription or agreement;
• upload CBI Mathematics resources into publicly available AI systems for redistribution, commercial training, republication or creation of competing materials without prior written permission.

7. Customer and User Materials

Where users provide comments, feedback, examples, files, anonymised materials or other content to us, users remain responsible for ensuring they have the right and lawful basis to provide that material.

Customer-provided materials remain the property of the Customer or their respective owners. Nothing in these Terms transfers ownership of Customer content to Professional Learning International Limited.

By providing feedback, suggestions or non-confidential comments about our services, you permit us to use that feedback to improve our services, resources and professional learning materials.

8. Student Work Samples and Assessment Information

The CBI Mathematics website and portal are not intended for the submission or upload of identifiable student personal information.

Students do not have accounts in the CBI Mathematics Portal and should not upload materials to the portal.

Schools or educators may occasionally choose to share anonymised or de-identified student work samples, assessment examples, or aggregated school-wide assessment results directly with CBI Mathematics or an authorised coach by email or another agreed communication method for professional learning, programme evaluation, quality assurance, research, impact review or service improvement purposes.

Where any material could reasonably identify an individual student, it should only be shared where the school has provided express written permission or another appropriate lawful basis exists.

Schools and educators are responsible for removing student names, identifying details and other direct identifiers before sharing work samples or assessment examples with us, unless express written permission or another lawful basis has been confirmed.

9. User Content

You agree not to provide content that:

• infringes intellectual property rights;
• breaches privacy or confidentiality obligations;
• contains unlawful, harmful, misleading or offensive material;
• contains viruses, malicious code or harmful files;
• contains identifiable student personal information without appropriate authority, permission or lawful basis.

We reserve the right to remove, delete or restrict access to user-provided content at our discretion.

10. Professional Learning and Educational Materials

All educational materials, resources, workshops, courses and professional learning services are provided for professional learning and educational purposes only.

PLI does not guarantee:

• specific educational outcomes;
• implementation results;
• suitability for every school, educator, learner or context;
• uninterrupted access to the website, portal or services.

Professional judgment remains the responsibility of the user and their organisation.

11. Fees, Payments, Refunds and Subscriptions

Fees are payable in accordance with the applicable quotation, invoice, subscription, registration, booking form, purchase order or service agreement.

Refunds, cancellations, transfers and subscription changes are governed by the applicable booking, purchase, subscription or service terms provided at the time of purchase or registration.

We may suspend or restrict access to paid services where payment or subscription obligations are not met.

12. Website and Portal Availability

We aim to maintain reliable access to our website, portal, resources and services. However, we do not guarantee uninterrupted or error-free availability.

Services may occasionally be unavailable due to:

• maintenance;

19. Order of Priority

To the extent of any inconsistency regarding personal data processing, the Data Processing Addendum will prevail over these Terms and Conditions.

To the extent of any inconsistency between these Terms and a signed written agreement between PLI and a Customer, the signed written agreement will prevail to the extent of the inconsistency.

20. Force Majeure

We are not responsible for delay, interruption or failure to perform where caused by events beyond our reasonable control, including natural disasters, power failures, internet outages, cyber incidents, labour disruptions, government action, public health emergencies or third-party provider failures.

21. Termination or Restriction of Access

We reserve the right to suspend, restrict or terminate access to the website, portal, resources or services where:

• these Terms and Conditions are breached;
• unlawful activity is suspected;
• misuse occurs;
• security concerns arise;
• payment or subscription obligations are not met;
• operational requirements make restriction or termination necessary.

22. Governing Law

These Terms and Conditions are governed by the laws of New Zealand.

Any disputes relating to the website, portal, resources or services are subject to the exclusive jurisdiction of the courts of New Zealand.
